The General Terms and Condition

The purchaser ("Purchaser") wishes to purchase from time to time goods and services ("Products") ("") for use by Purchaser in the conduct of Purchaser's business. Purchaser agrees that whenever it wishes to purchase Products from, it shall complete in writing or verbally authorize an Order form ("Order") provided by may, but is not required to, accept any Order. Any Orders accepted by and any subsequent sales of Products by to Purchaser shall be subject to the terms set forth in these Terms and Conditions:

Purchase and Payment. In the event Purchaser wishes from time to time to purchase Products by making payment through authorized buying agents of the Purchaser utilizing a pre-approved credit card issued to the Purchaser (the "Card"), Purchaser shall submit an Order to reflecting such payment terms. In the event accepts such Order, the total amount due for the Products, including, but not limited to any applicable taxes and shipping or delivery charges, shall be charged to the Card prior to shipment or delivery of the Products.

Purchaser Commitments. Purchaser shall indemnify and hold harmless (and, at's election and request, defend from, against and in respect of any loss, cost, claim, damage, liability or expense (including but not limited to reasonable attorneys' fees and court costs) which may suffer or incur related to (i) any breach of this Agreement by Purchaser, or (ii) the use of the Card or any other of the Purchaser's credit cards for any reason other than Fault (as hereinafter defined). In the event of non-payment for reasons other than Fault, the Purchaser will promptly pay in full the purchase price of the Products, including but not limited to any applicable taxes and shipping or delivery charges. In the event Purchaser fails to pay any such amounts on demand by, Purchaser shall be deemed to be in breach of this Agreement. In addition to any other rights and remedies may have hereunder, under applicable credit card agreements or under applicable law, shall, to the extent permitted by law, be entitled to recover its reasonable attorneys' fees, costs of collection and court costs incurred in seeking to collect amounts due from Purchaser. " Fault" shall be defined to be (i) an erroneous billing, as determined in's reasonable discretion, or (ii) the fraudulent use of a Card number by a employee, as determined in's reasonable discretion or by a court of competent jurisdiction.
